MetisLogic, Inc. ("MetisLogic," "we," "our," or "us") provides the website located at metislogic.io (the "Site"). These Terms of Service ("Terms") govern access to and use of the Site. By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Website Only; Customer Agreements Control

These Terms apply only to the public Site. They do not grant access to the MetisLogic Cloud Service, Local Software, implementation services, or customer support. Those offerings are governed by an Order Form, Master Cloud Service Agreement, and any applicable attachments. If a customer agreement conflicts with these Terms, the customer agreement controls for the Product and related services.

2. Permitted Use

You may use the Site for lawful business-information and evaluation purposes. You may not:

• Interfere with or disrupt the operation or security of the Site.
• Attempt to gain unauthorized access to systems, data, or accounts.
• Introduce malicious code or use the Site unlawfully.
• Scrape, harvest, or collect Site information at unreasonable scale or in a manner that burdens the Site.
• Impersonate another person or misrepresent affiliation.
• Reverse engineer Site software except where law prohibits restriction.
• Copy, modify, distribute, or commercially exploit Site content without permission.
• Use Site content, screenshots, or materials to build a competing product or dataset.

3. Intellectual Property

All Site content, including text, graphics, images, logos, videos, software, and design elements, is owned by or licensed to MetisLogic and protected by intellectual-property laws. Subject to these Terms, MetisLogic grants a limited, revocable, non-exclusive right to view and use the Site for internal business evaluation. No other rights are granted.

4. Submissions and Feedback

Do not submit confidential, proprietary, export-controlled, classified, security-sensitive, payment, health, or other sensitive information through general website forms. Information submitted through a secure customer Product is governed by the customer agreement. If you voluntarily provide suggestions or feedback, you grant MetisLogic a perpetual, worldwide, irrevocable, royalty-free right to use it without restriction or obligation, without identifying you as the source unless permitted.

5. Product Information

Site descriptions, screenshots, videos, examples, roadmaps, estimates, and other Product information are illustrative and may change. They are not warranties, commitments, professional advice, or substitutes for an Order Form or customer agreement. AI-assisted or automated content may be incomplete or inaccurate and should be independently evaluated.

6. Third-Party Links

The Site may contain links to external websites that are not controlled by MetisLogic. We are not responsible for their content, security, availability, privacy practices, or terms.

7. Privacy

The Website and Business Privacy Policy explains how MetisLogic handles personal information through the Site and its own business operations. The separate Cloud Service Privacy Notice addresses application-related information.

8. Disclaimer of Warranties

The site and its content are provided "as is" and "as available." To the fullest extent permitted by law, MetisLogic disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and availability. MetisLogic does not warrant that the site will be error-free, secure, or continuously available.

9. Limitation of Liability

To the maximum extent permitted by law, MetisLogic and its officers, employees, contractors, and agents will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or lost profits, revenue, data, or goodwill, arising from the site. MetisLogic's total liability for all site-related claims will not exceed $100. These limits do not apply where prohibited by law.

10. Indemnification

You will defend and indemnify MetisLogic and its officers, employees, contractors, and agents from third-party claims and reasonable costs arising from your unlawful use of the Site, violation of these Terms, or content you submit, except to the extent caused by MetisLogic's willful misconduct.

11. Changes and Access Restrictions

MetisLogic may modify, suspend, or discontinue the Site and may restrict access for violations, security, maintenance, or legal reasons. We may update these Terms by posting a revised version and Last Updated date. Material changes apply prospectively unless law permits otherwise.

12. Governing Law and Courts

California law governs without regard to conflict-of-law principles. Any dispute must be brought in the state or federal courts located in San Mateo County, California, and the parties consent to their exclusive jurisdiction, except that either party may seek equitable relief in any competent court for misuse of intellectual property or confidential information.

13. General

These Terms and the Website and Business Privacy Policy are the complete agreement about the public Site. If a provision is invalid, the remainder remains effective. Failure to enforce is not a waiver. You may not assign these Terms without consent; MetisLogic may assign them in a corporate transaction. There are no third-party beneficiaries. Electronic communications and notices are effective where permitted.
